General Terms and Conditions (GTC) for ChangeCockpit GmbH

1. Scope of Application

These General Terms and Conditions (“GTC”) govern the contractual relationship between ChangeCockpit GmbH, Floraweg 4, 5600 Lenzburg, Switzerland (hereinafter referred to as “ChangeCockpit”), and its customers regarding the provision of IT services, training, consulting, and other services related to Microsoft 365.

2. Contract Formation

The contract between the customer and ChangeCockpit is concluded through the acceptance of an offer or the utilization of services by the customer. Side agreements and amendments must be made in writing.

3. Services Provided by ChangeCockpit

ChangeCockpit provides services such as training, consulting, and the provision of information. The scope of services is determined by the individual contract or the service description.

4. Customer Obligations
  • The customer agrees to provide all necessary information and documents required for service delivery completely and accurately.
  • Access data and passwords must be kept confidential by the customer.
  • The customer is responsible for the accuracy of the information provided.
5. Prices and Payment Terms
  • The agreed prices apply; prices are quoted in CHF excluding VAT.
  • Invoices are payable within 30 days from the issue date unless otherwise agreed.
  • In the event of payment default, ChangeCockpit reserves the right to suspend services and charge default interest.
6. Warranty and Liability
  • ChangeCockpit ensures careful and professional service delivery but does not guarantee error-free, complete, or suitable content for specific purposes.
  • Any liability is excluded to the extent permitted by law; in particular, ChangeCockpit is not liable for indirect or consequential damages.
  • Liability for services provided by third parties is limited to the extent permitted by statutory provisions.
7. Data Protection

The protection of personal data is carried out in accordance with the applicable data protection regulations in Switzerland. Further details can be found in the ChangeCockpit Privacy Policy.

8. Copyright and Usage Rights
  • All content, documents, presentations, scripts, training materials, and other materials provided by ChangeCockpit GmbH are protected by copyright.
  • Copyrights remain with ChangeCockpit GmbH or the respective rights holders.
  • Reproduction, distribution, publication, or other use of these materials—even partially—is only permitted with the express written consent of ChangeCockpit GmbH.
  • Any commercial use of the content, particularly the creation and offering of services based on concepts, documentation, training, or information provided by ChangeCockpit, is prohibited.
8a. Prohibition of Use for Creating Own Services
  • Service providers and third parties are expressly prohibited from using the information, documents, or concepts provided by ChangeCockpit GmbH, in whole or in part, to develop, market, or execute their own or third-party services, products, or offerings.
  • This prohibition specifically includes:
    • Imitation or modified reuse of training content, presentations, work methods, or consulting services provided by ChangeCockpit.
    • Integration of the provided content into their own customer projects, services, or product offerings, whether for profit or free of charge.
  • Violations may result in civil and criminal consequences..
9. Contract Duration and Termination
  • The contract duration is determined by the agreed scope of services.
  • Contracts can be terminated in writing with a notice period of 30 days unless otherwise agreed.
  • In cases of repeated contract violations, immediate termination for cause is possible.
10. Final Provisions

If individual provisions of these GTC are or become invalid, the validity of the remaining provisions remains unaffected. The invalid provision will be replaced by a legally compliant provision that reflects the intended purpose.

Swiss law exclusively applies to all contracts and these GTC.

The place of jurisdiction is Lenzburg, Switzerland, unless mandatory legal provisions stipulate otherwise.
